Ollie Porter Photography Limited – Terms & Conditions
These Terms & Conditions apply to all freelance retouching and photography services provided by Ollie Porter Photography Limited (“the Company”) to any client (“the Client”). By confirming a booking, the Client accepts these Terms in full.
1. Bookings & Confirmation
1.1. All bookings must be confirmed in writing (email confirmation is sufficient).
1.2. Once confirmed, the Client is deemed to have entered into a binding contract with the Company under these Terms.
2. Cancellation Policy
2.1. Cancellations must be made in writing.
2.2. Any cancellation made less than 24 hours prior to the confirmed start time will incur 100% of the agreed fee, which will be invoiced in full.
2.3. Cancellations made more than 24 hours in advance will not incur a fee.
3. Fees, Invoicing & Payment
3.1. All fees will be agreed in advance of the booking.
3.2. The Company will issue an invoice on completion of the work or at agreed milestones.
3.3. VAT at the prevailing UK rate will be added to all invoices.
3.4. Payment terms are strictly 30 days from the date of invoice, unless otherwise agreed in writing.
3.5. The Company reserves the right to charge statutory interest on overdue invoices in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
4. Delivery & Liability
4.1. The Company will deliver retouched images or other deliverables to the agreed specification and deadline wherever reasonably possible.
4.2. The Company is not liable for any indirect, incidental, or consequential losses arising from the use of its work.
4.3. While every effort is made to ensure accuracy, the Client is responsible for final approval of all deliverables.
5. Intellectual Property
5.1. All intellectual property rights in any deliverables produced by the Company shall remain with the Company until full payment is received.
5.2. Upon full payment, the Client shall be granted a licence to use the deliverables for the purposes and territories agreed in writing.
6. Independent Contractor
6.1. The Company operates as an independent contractor. Nothing in these Terms shall create a relationship of employment, partnership, or joint venture between the Company and the Client.
7. Governing Law
7.1. These Terms shall be governed by and construed in accordance with the laws of England and Wales.
7.2. Any disputes shall be subject to the exclusive jurisdiction of the English courts.
